The Gilmer Athletic Booster Club Bylaws

ARTICLE I. NAME
The name of this organization shall be the Gilmer Athletic Booster Club
(Hereinafter referred to as the Booster Club.)
ARTICLE II. PURPOSE
The purpose of this organization shall be to advance the education, including the
participation in extracurricular activities, either academic and/or athletic, of students
served by the Gilmer Independent School District.
The Booster Club shall be non-partisan and non-sectarian. It shall have no part in
securing of any public office for any person.
ARTICLE III. MEMBERSHIP
Any one interested in promoting the purpose of the Booster Club may apply for
membership in the Booster Club. Applicants must receive a majority vote by the Board of
Directors for admittance as members of the Booster Club.
The Booster Club may admit Lifetime and Honorary members who meet
qualifications established by the Board of Directors. The Booster Club membership may
consist of varying levels as determined by the Board of Directors.
All members must submit to the Texas Education Agency, University
Interscholastic League, and Gilmer I.S.D. laws, constitution, regulations, and policies
governing athletic competition and booster clubs.
The Booster Club will not discriminate on the basis of race, color, religion,
nationality, or ethnic origin.
ARTICLE IV. DUES AND ASSESSMENTS
The Booster Club shall charge annual dues established by the Board of Directors.
ARTICLE V. OFFICERS
The officers of the Booster Club shall consist of a president, vice president,
secretary, and treasurer.
The President shall preside at all meetings. He/She shall appoint all committees
and perform all duties incident to the office of the President, and shall be an ex-officio
member of all committees.
The Vice President shall preside at all meetings in the absence of the President,
and shall perform all duties incident to the office of Vice-President. He/She shall act in
all matters for the President in the President’s absence. The Vice President shall serve as
liaison between the Booster Club and the Gilmer Independent School District’s School
Board and Administration.
The Secretary shall keep the official records of the Booster Club. He/She shall
maintain all minutes, bylaws and amendments, and tax records. Should the Booster Club
organize as a corporation, the Secretary shall maintain the registered agent as prescribed
by the Texas Secretary of State in the articles of incorporation.
The Treasurer shall countersign all checks and at frequent intervals check on all
funds of the Booster Club. He/She shall report to the Board of Directors on the financial
conditions of the Booster Club and shall provide an audit of the Booster Club finances
during the month of May.
ARTICLE VI. BOARD OF DIRECTORS
The Board of Directors shall consist of the Booster Club Officers. The Gilmer
Independent School District Superintendent and Athletic Director shall be Ex Officio
directors. The Ex Officio directors shall have no voting power.
ARTICLE VII. ELECTIONS
The Board of Directors shall identify candidates for each office.
Elections for each office shall be held annually during the month of June. The
elections shall be decided by a plurality of the votes cast.
ARTICLE VIII. TERM OF OFFICE
Each officer shall serve a one year term following the annual election. The
officers shall serve from September 1 through August 31.
ARTICLE IX. MEETINGS
The Booster Club will meet quarterly and at all other meetings called by the
President. The annual meeting will be held within the month of June.
ARTICLE X. FISCAL YEAR
The fiscal year will begin on September 1 and end on August 31.
ARTICLE XI. FUNDRAISING
All Booster Club fundraising projects must receive written approval from the
Gilmer I.S.D. administration prior to any fund raising project. The Booster Club shall
retain control over the initiation of the expenditures and the details of the project.
The project must receive majority approval from the Board of Directors before
adoption and initiation as a club project.
ARTCLE XII. USE OF CLUB FUNDS
The athletic director shall serve as Booster Club advisor. (S)HE may not have
control or signature authority over Booster Club funds.
The Board of Directors shall direct all fund uses. Funds must support school
activities and scholarships. Funds may be used to support The Gilmer ISD Foundation,
Inc. and other non-profit organizations whose purpose benefits the students of Gilmer
I.S.D.
Booster Club funds shall not be given to students. Funds shall not support athletic
camps, clinics, private instruction or similar activity outside of school.
Requests for Booster Club funds from coaches must have prior approval from
school administration before submission to the Booster Club.
Funds may be used to provide pre-season and post-season meals or banquet as
provided within the University Interscholastic League Booster Club Guidelines. The
superintendent must give prior approval before the meal or banquet.
ARTICLE XIII. PARLIAMENTARY RULES
In all meetings of the Booster Club, the proceedings shall be governed by
parliamentary rules in common usage.
ARTICLE XIV. DISSOLUTION CLAUSE
In the event the Booster Club is dissolved, all funds collected by the Booster Club
toward the promotion of education within the Gilmer Independent School District and not
used toward that purpose shall be used to pay all debts and liabilities incurred by the
Booster Club. Any remaining monies shall be donated to the Gilmer Independent School
District and/or to charities qualifying for deduction under the regulations of the Internal
Revenue Service and approved by majority vote of the Board of Directors.
ARTICLE XV. AMENDMENTS
These bylaws may be changed at an annual meeting by a two-thirds (2/3) vote of
the members, provided that notice of the proposed change has been sent to each members
not less than seven (7) days prior to the date of such meeting.
